ARTICLES OF ASSOCIATION

ARTICLE I NAME

The name of this club shall be the Calico Quilters Guild

ARTICLE II PURPOSE

The purpose of the Calico Quilters Guild shall be to encourage quilters by an interchange of ideas and research, and by contact with experts in other fields and geographic areas. The guild shall strive for high standards, provide educational opportunities, create friendly cooperation among members, and promote an appreciation of quilting as an art in the community. The guild is organized for nonprofit purposes and individual members will not derive profit therefrom.

No substantial part of the activities of this organization shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the organization shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.

ARTICLE III OBJECTIVE

The objective of this club shall be to carry on a program of work outlined by the members. This program is to consist of a fellowship of members, learning and sharing quilting techniques, and supporting at least one philanthropic project each year. The guild will strive to maintain a balance between educational and charitable contributions to the community.

ARTICLE IV MEMBERSHIP AND DUES

Section 1. Any person residing within the area may become a member without regard to race, color, religion, sex, or national origin.

Section 2. A prospective member can become a member by paying dues.

Section 3. Dues shall be set by a vote of the membership. Dues will be payable January 1, and prorated if joining after the due date. If dues are not paid by March 31 the member shall be dropped from the membership roster.

ARTICLE V PROPERTY INTERESTS

The interest and requirements of each member of the club is to be equal. Property or assets of the club shall not be considered property of any individual member. An inventory list shall be kept by the Property Chairman. The property of this organization is irrevocably dedicated to charitable purposes and no part of the net income or assets of this organization shall ever inure to the benefit of any director, officer, or member thereof or to the benefit of any private persons. Upon the dissolution or winding up of the organization, its assets remaining after payment, or provision for payment, of all debts and liabilities of this organization shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code. Members can loan material to the club, but they must make clear in writing that it is a loan and not a donation.

ARTICLE VI MEETINGS

Section 1. Meetings of this club shall be held the last Tuesday of each month, unless otherwise voted in an open meeting. The fiscal year shall be from August 1 to July 31. A recess may be called at the discretion of the members. Special meetings (such as quilting bees, mini-classes) can be called by the President upon the request of active members. Thirty per cent (30%) of the membership shall constitute a quorum and shall be allowed to set policy, hold elections and transact club business. The meetings of the Board of Directors will be held before the regular membership meetings, or when called by the President.

Section 2. The rules contained in Robert's Rules of Order shall govern the club in all cases to which they are applicable and in which they are not inconsistent with these Articles of Association.

ARTICLE VII OFFICERS

Section 1. The officers shall consist of a President, Vice-President, Secretary and Treasurer.

Section 2. A Board of Directors shall consist of the above officers; the immediate past president; the membership, publicity, and property chairmen; the chairman of the Quilt Show Committee, if such exists; plus four club members to be elected to serve as Board Members at large, and who will have all the elected rights of other Board Members. The Board of Directors will not set policy. Its function will be to make suggestions, provide alternatives, and present options to the club for the members' consideration.

Section 3. In case of a vacancy in any elective office, a replacement will be elected by the membership.

ARTICLE VIII ELECTIONS

Section 1. A Nominating Committee of at least three members, but not more than five, none of whom currently holds elective office, shall be appointed in April

Section 2. The Nominating Committee will present the list of nominees to the membership at the June general meeting. At that time the Nominating Committee Chairman will ask for any nominations from the floor. There being any, these names will be added to the slate.

Section 3. Elections will be at the July general meeting.

Section 4. No member is to hold more than one office at a time. This does not apply to the temporary performance of duties of other officers.

Section 5. No member is to hold the same elective office for more than two (2) years consecutively.

ARTICLE IX DUTIES OF OFFICERS

Section 1. The President shall supervise the activities of the club, preside at meetings, and organize committees and appoint committee chairmen.

Section 2. The Vice-President shall perform the duties of President in case of the absence of the President, and shall serve as liaison to the night group.

Section 3. The Secretary will keep a record of club proceedings, take attendance, carry out club correspondence, and maintain a copy of the current Articles of Association.

Section 4. The Treasurer shall collect money and keep accurate records of the same, file such tax forms as are required and pay club bills. The Treasurer will regularly provide the Membership Chairman and the Secretary with names and addresses of new members.

Section 5. The President shall appoint the following committee chairmen:

(1) Membership. The Membership Chairman will distribute a current roster of the members and give membership packets to new members.
(2) Publicity. The Publicity Chairman will furnish written information to all media to publicize club activities.
(3) Property. The Property Chairman will maintain a current record of all club property and its location, and report regularly to the membership what is on hand and available.

ARTICLE X DUTIES OF MEMBERS

Section 1. It shall be the duty of each member to attend all meetings possible and take an active part in meetings.

Section 2. Any member not holding an elective office may be asked to serve as a committee chairman. It is the duty of this person to enlist club members for the committee. A committee chairman will call such meetings as necessary and notify the President of all such committee meetings in advance.

Section 3. The President, upon taking office, will pick all committee chairmen not otherwise mentioned in these Articles of Association, during an open meeting, from volunteers.

Section 4. A committee chairman's term will be for one year unless reappointed by the new President.

Section 5. The term of a member chairing a special project, such as the Quilt Show, Block Busters, or the Raffle Quilt, will continue until the project's completion.

Section 6. Members will also be called upon to share talents, ideas, techniques, and be a visible support of quilting in the community.

ARTICLE XI MISCELLANEOUS

Section 1. The private property of members shall not be at any time subject to the payment of club debts, and no member of the club shall be responsible individually or personally liable for any debts of the club. The club shall not incur indebtedness to exceed the sum of $20.00 beyond the Treasurer's balance.

Section 2. The club's monetary assets will be no less than $1,000.00 at the end of each fiscal year.

Section 3. The books and records of this club shall be open to the inspection of its members.

Section 4. The club reserves the right to amend, alter, change or repeal provisions of these Articles of Association at a meeting attended by a quorum of the membership.

Section 5. This club shall be a nonprofit organization.

Section 6. This club may accept donations and raise funds. Funds so raised or accepted shall be used only for the benefit of the club in promoting educational and recreational programs, or in its philanthropic program.

Section 7. A copy of these Articles of Association shall be maintained by the Secretary and be available to all members.

Section 8. No classes or activities will be conducted in the name of the Calico Quilters Guild unless sanctioned or sponsored by the club itself.
